Illinois registered agent

Last verified

Every Illinois LLC needs a registered agent: an Illinois resident, or a business authorized to transact business in Illinois, with an Illinois street address where legal papers can be delivered. The LLC cannot be its own agent. If you live in Illinois and have a business address that isn't your home, be your own agent and pay nothing. If you live anywhere else, you can't serve, so you'll pay a commercial agent, usually $50 to $150 a year. Switching agents later costs $25.

Our recommendation

Be your own agent if you can. Otherwise, use Northwest.

If you live in Illinois and have a business address that isn't your home, be your own registered agent and keep the $125. Everyone else, including every founder who lives outside Illinois, should hire a commercial agent. Our pick is Northwest: $125 a year, no per-document fees, and its address on the public record instead of yours.

Illinois registered agent rules

What the state requires, from the statute and the Secretary of State.

What Illinois calls it
Registered agent, at a registered office (805 ILCS 180/1-35). Illinois doesn’t use “statutory agent” or “resident agent.”
Who can serve
An individual who lives in Illinois, or another person authorized to transact business in Illinois. A business acting as agent must be registered with the Secretary of State. The LLC cannot be its own agent.
Address rule
An Illinois street address. A P.O. box alone is rejected. You may add a P.O. box with a ZIP+4 to the street address. The registered office and the agent’s business office must be the same address. The form limits that address to 30 characters, including spaces.
Change of agent
$25. Form LLC-1.36/1.37, or online if the LLC is in good standing. Standard review is within 10 days. 24-hour service is $75 total ($25 plus a $50 expedite fee), excluding weekends and holidays. This filing does not change the principal office.
If the agent resigns
They file Form LLC-1.35 ($5) and must mail you a copy by registered or certified mail at least 10 days before they file. The resignation cannot take effect sooner than 30 days after that filing.
60-day replacement
Put a new agent on record within 60 days of the resignation notice. If you don’t, the Secretary of State marks the LLC delinquent and not in good standing. The state’s form states a $100 penalty, and the office will not accept other filings until the agent is replaced.
Administrative dissolution
Failing to appoint and keep an agent is grounds for dissolution (805 ILCS 180/35-25). After the delinquency notice, you have 60 days to fix it.
Reinstatement
$200, on Form LLC 35.40, plus any missed annual reports and penalties.
If nobody is there
Lawsuits are served on the registered agent. If the LLC has no agent, or the agent cannot be found at the registered office, the person suing can serve the Secretary of State instead (805 ILCS 180/1-50).

Do you need a registered agent in Illinois?

Yes. Illinois requires every LLC to continuously keep a registered agent and registered office in the state (805 ILCS 180/1-35). The agent is where lawsuits and state notices are delivered. If the LLC has no agent, or the agent cannot be found at the registered office, the person suing you can serve the Secretary of State instead. If nobody opens that mail, the case can move forward without you knowing about it.

If your agent resigns, they have to mail you notice at least 10 days before they file it, and the resignation cannot take effect sooner than 30 days after filing. You then have 60 days from the resignation notice to put a new agent on record. Miss that and the Secretary of State marks the LLC delinquent and not in good standing. The change-of-agent form states a $100 penalty, and the office will not accept other filings until you replace the agent. Failing to keep an agent is also grounds for administrative dissolution: after a delinquency notice, you have 60 days to fix it. Reinstatement costs $200, plus any missed annual reports and penalties.

Can you be your own registered agent?

You can be your own agent if you live in Illinois and have an Illinois street address where legal papers can be delivered. It's free, and you name yourself on the Articles of Organization. The LLC cannot name itself as its own agent.

What it costs you is privacy and availability. The address you list goes on the Secretary of State's public record, and a process server has to be able to find someone there. If they can't, they can serve the Secretary of State instead. If that address is your home, anyone who looks up your LLC can find where you live. If you have a shop or office in Illinois where someone is reliably there, use that address and skip the fee.

If you live outside Illinois, you can't be your own agent. You can name a friend or relative who lives there, but they take on the job: staying findable at that address and forwarding lawsuits quickly. If they resign, you have 60 days from their notice to replace them before the LLC is marked delinquent.

How to change your Illinois registered agent

File a Statement of Change of Registered Agent and/or Registered Office, Form LLC-1.36/1.37. The fee is $25. If the LLC is in good standing, you can file it online; the Secretary of State reviews a standard filing within 10 days. 24-hour service costs $75 total ($25 plus a $50 expedite fee), excluding weekends and holidays, and is paid by card. Paper filings go in duplicate to the Department of Business Services in Springfield. The filing does not change your principal office, and the annual report cannot update the agent.

Sign up with the new agent first, since the form needs their name and Illinois street address, and that address has to be their business office. Don't cancel the old agent until the Secretary of State's record shows the new one. A delinquent LLC cannot file the change until it is back in good standing.
