Utah registered agent

Last verified

Every Utah LLC has to keep a registered agent. The current rules took effect October 1, 2026. The agent needs a street address in Utah. A mailing address can be different. You can name a commercial agent, name yourself at that street address, or name an office inside the LLC and give that office a mailing address. If you live in Utah and have a business address that isn't your home, serve yourself. Everyone else should hire one. A commercial agent usually costs $50 to $150 a year. Changing the agent on one LLC is $13.

Our recommendation

Be your own agent if you can. Otherwise, use Northwest.

If you have a non-home Utah street address, be your own agent. If you work from home or live outside Utah, use Northwest at $125 a year. Switching one company later costs $13.

Utah registered agent rules

What the state requires, from the statute and the Secretary of State.

What Utah calls it
Registered agent. Utah Code Title 16, Chapter 1a, Part 4, in effect October 1, 2026.
Who you can name
A commercial registered agent, by name. Or a noncommercial agent, by name and street address. Or an office or position inside the LLC, plus that office’s mailing address.
Address rule
A street address in Utah. If mail goes somewhere else, list that mailing address too.
Consent
Designating the agent affirms that the agent has consented. You do not file a separate acceptance.
Change of agent
$13 per record to change the agent on one entity. A commercial agent changing its own address pays $52, and that one filing updates every entity that lists the agent.
If the agent resigns
Effective at 12:01 a.m. on the 31st day, or sooner if a new agent is designated. The agent has to notify the LLC. A commercial agent ending its listing follows the same 31st-day clock.
Public list
The Division publishes a daily list of filings that name each registered agent, and keeps each day’s list up for at least 14 days.
With no agent
Service can go by certified or registered mail to the principal office. It is effective on receipt, on the return receipt, or five days after deposit if the address was right.
What the agent must do
Forward process and notices, and keep the agent information current. That is the whole duty.

Do you need a registered agent in Utah?

Yes. Utah requires the LLC to maintain a registered agent. If there is no agent, or the agent cannot be served, a lawsuit can be mailed to the principal office and becomes effective five days after it is deposited. The renewal postcard also goes to the agent, so a stale agent address is how people miss the $18 renewal. Name a replacement before a resignation hits 12:01 a.m. on the 31st day.

Can you be your own registered agent?

Serve yourself if you have a Utah street address that isn't your home. You can also name an office or position inside the LLC and give that office a mailing address, which is the option for a company that wants the role tied to a job rather than a person. The street address is public. The Division's daily filing list names the agent for at least 14 days.

How to change your Utah registered agent

File a statement of change. Designating the new agent affirms that the new agent consented. The Division charges $13 for one entity. If you are the commercial agent and your own address changed, the commercial change is $52 and it updates every entity on your list. Do that before the old address is where the renewal postcard and the lawsuits go.
